End User License Agreement (EULA)

The terms on which Digital Dept grants the right to use the LimePanel software.
This is a translation of the Italian text; the Italian version prevails in case of discrepancy.
1. Parties and definitions
1.1. This agreement is made between Digital Dept S.r.l.s., owner of the LimePanel brand, registered office at S.P. 350, 26 - 73057 Taviano (LE), Italy, VAT number IT04884840754, email info@limepanel.it ("Digital Dept"), and the individual or legal entity that installs or uses the software (the "Licensee").
1.2. Definitions:
| Term | Meaning |
|---|---|
| Software | the LimePanel control panel, its components (installer, agent, API, worker, web interface, panelctl), updates and documentation |
| Server | a single installation of the Software on one machine, physical or virtual, identified by a public IP address |
| License | the right to use the Software on one Server, trial or paid |
| License server | the license.limepanel.it service operated by Digital Dept |
| Service suspension | the state of the Software, described in section 6, in which all services on the Server are stopped |
| Hosting account | an account created in the Software to host sites, mail and databases, isolated from other accounts by the LimeCapsule isolation system |
| AI assistant | the Software feature described in section 10 |
2. Acceptance
By installing or using the Software, the Licensee accepts this agreement. Anyone installing the Software on behalf of an organization represents that they have authority to bind it.
3. License grant
3.1. Digital Dept grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to install and use the Software on one Server, for the term of the License and within the limits of the purchased plan (maximum number of Hosting accounts).
3.2. Each License is bound to the public IP address with which the Server presents itself to the License server. A License can be active on only one IP at a time. Using the Software on several Servers requires several Licenses.
3.3. IP changes. The Licensee may move the License to another IP or another Server on their own, up to 3 times every 30 days, from the customer area or from the Software. Further moves are assessed by support. The Server the License was moved away from enters Service suspension at its next check. A cloned machine must activate its own License.
3.4. The Licensee may use the Software to provide hosting services to third parties (their own customers and the resellers created in the Software). This does not constitute resale of the License.
4. Free trial
4.1. The free 15-day trial, with every feature and unlimited Hosting accounts, is requested on limepanel.it with an email address and company details. After the email is verified, the customer area shows a trial key: it must be activated within 30 days and the 15 days start at the first installation. The Software cannot be installed without a valid key.
4.2. One trial only is allowed per email address, per VAT number and per Server (public IP and machine). Digital Dept may refuse or end trials obtained by evasive means (disposable email addresses, untrue company details, repeated installations on the same Server).
4.3. The trial is not transferable and has no grace period: when it ends, without a paid License, the Software enters Service suspension (section 6).
4.4. The trial is provided "as is", without any warranty, to the extent permitted by law.
5. Restrictions
Except as permitted by mandatory law (including Article 64-quater of Italian Law 633/1941), the Licensee may not:
- resell, sublicense, rent, lend or grant Licenses to third parties, except under a written partner agreement with Digital Dept;
- use one License on several Servers at once, or circumvent the IP binding, the license checks or the plan limits;
- modify, decompile or disassemble the Software, or create derivative works of it;
- remove or alter trademarks, copyright or license notices;
- use the Software for unlawful activities.
6. Expiry and Service suspension
6.1. No grace period. When the free trial expires, and when a paid License expires without being renewed or paid, the License server treats the License as terminated and the Software enters Service suspension. For subscriptions, the Software keeps working while the renewal payment is being processed (up to 72 hours) and while the payment service provider retries a failed charge (up to 14 days, with an email notice to the Licensee). If the retries also fail, Service suspension starts when they end; if the subscription was cancelled, it starts at the end of the period already paid.
6.2. Service suspension also starts when: the License is suspended or revoked; the License has been moved to another Server, at the next check of the original Server; the IP changed without confirming the move; the Software has no valid authorization under section 7.1; there is no valid License.
6.3. During Service suspension the Software stops all services on the Server: websites, mail, databases, FTP, DNS served by the Server, scheduled tasks (cron) and every panel function other than the License page. Services stay stopped until the License is renewed or paid, replaced with a paid License, or reactivated by Digital Dept. When the License is valid again, the Software restarts the services automatically.
6.4. The licensing system deletes no data. During Service suspension files, databases, mailboxes, DNS zones and backups stay on the Server. SSH access to the Server and Software updates, security updates included, are never blocked by the licensing system.
6.5. When the number of Hosting accounts reaches the plan limit, only the creation of new Hosting accounts is blocked; existing ones are not affected.
6.6. Notices. Digital Dept emails the License holder 7, 3 and 1 day before expiry and once at expiry; the Software shows the same notices in the panel.
6.7. Retention after termination. For 30 days after termination Digital Dept keeps the License and the related customer records, and the License can be renewed or reactivated. After 30 days the License is closed for good and a new License must be bought to use the Software again. Digital Dept never acts on the data stored on the Licensee's Server.
6.8. The Licensee must renew the License in good time and inform their own customers of the consequences of expiry. Service suspension for the reasons set out in sections 6.1 and 6.2 does not constitute a breach by Digital Dept.
7. License checks and data sent
7.1. The Software contacts the License server at installation (before installing any component), on activation, transfer and deactivation, before every download from the official channel and, as a rule, once a day. Every answer carries a digitally signed authorization valid for 14 days, and in any case not beyond the License expiry date. If the License server cannot be reached, the Software keeps working on the last valid authorization.
7.2. For these checks the Software sends only:
| Data | Purpose |
|---|---|
| installation identifier (randomly generated at install time) | to tell installations apart |
| machine fingerprint, hashed (the original values are not sent) | to recognize cloned machines |
| public IP address, as seen by the License server | to bind the License to the Server |
| panel host name | to identify the Server in the customer area |
| Software version | support and compatibility |
| operating system and version | support and compatibility |
| number of Hosting accounts | to apply the plan limit |
| license key | to identify the License to activate |
7.3. For License checks the Software does not send domain names, the Licensee's customers' email addresses, or the content of sites, mail or databases. The data sent by the AI assistant, only at the user's request, is described in section 10.
7.4. Optional anonymous statistics. Only if the Licensee expressly turns them on (the --telemetry option at install time or a setting in the Software, off by default) does the Software send anonymous, aggregate usage statistics: web server, PHP and database versions, number of domains and mailboxes, days of uptime, number of cores and amount of memory. This consent can be withdrawn at any time from the settings.
7.5. The processing of this data is described in the Privacy policy.
8. Updates
8.1. While the License is valid (and during Service suspension too) the Licensee is entitled to the updates published on the chosen channel. The Software never updates itself: the Licensee starts each update.
8.2. Updates are digitally signed and verified before installation. Digital Dept may change, add or remove features in updates, without materially reducing essential features during a period already paid for.
8.3. The beta and dev channels are meant for testing and are not suitable for production.
9. Third-party components
The Software installs and configures third-party components (including OpenLiteSpeed, PHP, PostgreSQL, MariaDB, BIND, Postfix, Dovecot and, if requested, Rspamd, ClamAV, Roundcube), each subject to its own license. LiteSpeed Enterprise, if chosen, requires a separate license issued by LiteSpeed Technologies, which is not included in the LimePanel License.
10. AI assistant
10.1. The panel includes an assistant based on artificial intelligence that, at the user's request, explains the status of sites, mail and DNS, the files flagged by the malware scan and the risks of WordPress updates. The assistant does not carry out operations: any fixes are proposed by the panel and must be confirmed by the user. The assistant's answers are indicative and may contain errors; they do not replace a check by a technician. Digital Dept may disable the assistant at any time and applies usage limits.
10.2. When the user uses the assistant, the Software sends to the artificial intelligence service provider (Anthropic, PBC, USA) only the technical data needed for the request, after automatically removing passwords, keys, tokens and other personal data, as described in the Privacy policy. The Licensee may at any time ask for the assistant to be disabled for their account; a reseller can disable it for themselves and for all their customers.
11. Licensee's responsibilities
The Licensee is responsible for the security and management of the Server, for hosted content and its lawfulness, for relations with their own customers, for keeping credentials and the Software's secret key (/etc/limepanel/secret.key) safe, and for keeping adequate backups. As regards personal data hosted on the Server, the Licensee is the controller: Digital Dept has no access to such data and acts as a processor only for the transit to the artificial intelligence service provider of the data sent by the AI assistant at the user's request (section 10).
12. Intellectual property
The Software is owned by Digital Dept and protected by copyright law. The License grants only a right of use; no ownership rights are transferred. LimePanel is a trademark of Digital Dept.
13. Disclaimer of warranty
13.1. To the extent permitted by law, the Software is provided "as is" and "as available". Digital Dept does not warrant that the Software is error-free or will run without interruption, or that it is fit for the Licensee's particular purposes.
13.2. Nothing in this section limits the legal guarantees of conformity granted to Consumers by the Italian Consumer Code.
14. Limitation of liability
14.1. To the extent permitted by law, Digital Dept's total liability arising from this agreement or relating to the Software is limited to the fees actually paid by the Licensee for the License concerned in the 12 months preceding the event giving rise to liability. For free trials and NFR licenses that amount is zero, save for wilful misconduct or gross negligence.
14.2. Digital Dept is not liable for indirect or consequential damages, such as loss of profit, data or goodwill, or business interruption, save for wilful misconduct or gross negligence.
14.3. These limitations do not apply to wilful misconduct or gross negligence (Article 1229 of the Italian Civil Code), to personal injury, or to Consumers' mandatory rights.
15. Term and termination
15.1. This agreement lasts as long as the License. When the subscription ends, the License expires and section 6 applies.
15.2. Digital Dept may suspend or revoke the License, after notice, in case of serious breach of this agreement (in particular section 5), fraud or payment chargeback.
15.3. The Licensee may stop using the Software and uninstall it at any time. Uninstalling does not remove sites, mail, customer databases or DNS zones.
15.4. In every case of termination, suspension or revocation of the License, section 6 applies: the Server's services are stopped and the data stays on the Server (section 6.4).
16. Governing law and jurisdiction
16.1. This agreement is governed by Italian law.
16.2. Disputes with Licensees acting for business or professional purposes fall under the exclusive jurisdiction of the Court of Lecce, Italy. For Consumers, the court of the Consumer's place of residence or domicile, if in Italy, has jurisdiction.
