Terms of sale
Last updated: 26/10/2026
The terms governing the purchase of LimePanel license subscriptions on limepanel.it.
This is a translation of the Italian text; the Italian version prevails in case of discrepancy.
1. Who we are
The seller is Digital Dept S.r.l.s., owner of the LimePanel brand, registered office at S.P. 350, 26 - 73057 Taviano (LE), Italy, VAT number IT04884840754, email info@limepanel.it ("Digital Dept", "we" or "us").
2. Scope
2.1. These terms govern the distance sale, through limepanel.it, of subscriptions to the license to use the LimePanel software (the "License"). Use of the software is governed by the End User License Agreement (EULA), which forms an integral part of the contract.
2.2. These terms apply both to customers acting for business or professional purposes ("Business Customers") and to consumers within the meaning of Article 3 of Italian Legislative Decree 206/2005, the Consumer Code ("Consumers"). Clauses that apply to only one category say so expressly.
2.3. Who can buy. We accept orders from:
| Customer | Accepted |
|---|---|
| Business Customers and Consumers resident or established in Italy | yes |
| Business Customers established in another EU Member State with a valid VAT number (VIES) | yes |
| Business Customers and Consumers resident or established outside the EU | yes |
| Consumers resident in another EU Member State | not at present |
Orders that are not accepted are refused before payment.
2.4. AI assistant. The panel includes an assistant based on artificial intelligence that, at the user's request, explains the status of sites, mail and DNS, the files flagged by the malware scan and the risks of WordPress updates. The assistant does not carry out operations: any fixes are proposed by the panel and must be confirmed by the user. The assistant's answers are indicative and may contain errors; they do not replace a check by a technician. Digital Dept may disable the assistant at any time and applies usage limits. The processing of data related to the assistant is described in the Privacy policy.
3. Plans and prices
3.1. The available plans, their limits and prices are published on the Pricing page at the time of the order. Every plan includes every feature of the software and differs only in the maximum number of hosting accounts. As of this update the plans are:
| Plan | Hosting accounts | Monthly | Yearly |
|---|---|---|---|
| Solo | 1 | €9 per month | €99 per year |
| Pro | 10 | €34 per month | €374 per year |
| Unlimited | unlimited | €49 per month | €539 per year |
3.2. Prices are stated excluding VAT. VAT at the statutory rate (currently 22%) is added for Consumers and for Business Customers established in Italy. For EU Business Customers with a valid VAT number the reverse-charge mechanism applies; sales outside the EU follow the applicable non-taxable or out-of-scope regime. The total price, including taxes, is always shown before payment. For Consumers the VAT-inclusive price is shown prominently in the order summary, before confirmation.
3.3. Free trial. The free 15-day trial is requested on the website, with an email address and company details, after the email address has been verified, on the terms of the EULA. One trial only is allowed per email address, per VAT number and per server. The trial requires no payment and does not automatically turn into a paid subscription. When the trial expires, without a paid License, the software stops all services on the server as set out in section 6 of the EULA.
4. Conclusion of the contract
4.1. The customer enters billing details, chooses the plan and pays through Stripe. The contract is concluded when the payment is authorized and we receive confirmation from Stripe.
4.2. After conclusion we send to the email address provided a confirmation of the contract on a durable medium, with the order summary, these terms, the EULA and, for Consumers, confirmation of the consent and acknowledgement under section 7.
4.3. The license key is shown on the confirmation page, sent by email and always available in the customer area. If the customer enters the server's IP when ordering, the license is bound to that server automatically.
5. Subscription, renewal and cancellation
5.1. The subscription is monthly or yearly (yearly costs 11 months), as chosen in the order, and renews automatically at the end of each term for a term of the same length, charged through Stripe to the registered payment method, until the customer cancels it.
5.2. The customer may cancel at any time, at no cost, from the customer area on limepanel.it or from the Stripe customer portal. Cancellation takes effect at the end of the period already paid: until then the License remains fully active; at the end of the period section 5.7 applies. No refunds are given for the unused part of the current period, except as required by law and by section 7.
5.3. For yearly subscriptions we send an email reminder at least 7 days before the renewal.
5.4. Plan changes. The customer may move to a higher or lower plan from the customer area. The difference is prorated over the remaining period.
5.5. Price changes. Any price change applies only from the next renewal and is notified by email at least 30 days in advance. A customer who does not accept it may cancel before renewal.
5.6. Failed payment. While a renewal payment is being processed (up to 72 hours) the server keeps working. If the charge fails, we notify the customer by email and Stripe retries the payment for up to 14 days, during which the server keeps working. If the retries also fail, the License terminates and the software stops all services on the server (websites, mail, databases, FTP, DNS, scheduled tasks and every panel function except the License page), as set out in section 6 of the EULA. The same happens at the end of the period already paid if the subscription was cancelled. There is no grace period.
5.7. Expiry and reactivation. We email the License holder 7, 3 and 1 day before expiry and once at expiry. After termination, services stay stopped until the License is renewed or paid, replaced with a paid License, or reactivated by Digital Dept; when the License is valid again, services restart automatically. The licensing system deletes no data: files, databases, mailboxes, DNS zones and backups stay on the customer's server, and SSH access and updates are never blocked. For 30 days after termination we keep the License and the related customer records and the License can be renewed or reactivated; after 30 days the License is closed for good and a new one must be bought.
6. Invoicing
6.1. We issue an invoice for every payment. Customers established or resident in Italy receive an electronic invoice through the Italian Exchange System (SdI) at the electronic address (recipient code or PEC) they provide; failing that, the invoice is made available in their reserved area of the Italian Revenue Agency. A courtesy PDF copy is available in the customer area.
6.2. Foreign customers receive the invoice in the customer area and by email.
6.3. The customer is responsible for the accuracy of the billing details provided.
7. Consumers' right of withdrawal
7.1. Right of withdrawal. A Consumer has the right to withdraw from the contract, without giving any reason and without penalty, within 14 days of the conclusion of the contract (Articles 52 et seq. of the Consumer Code).
7.2. How to withdraw. To withdraw, the Consumer sends us, before the deadline, a clear statement of the decision by email to info@limepanel.it, or uses the model withdrawal form at the end of these terms (Annex I, Part B, of the Consumer Code). We acknowledge receipt on a durable medium without delay.
7.3. Refund. On a valid withdrawal we refund the payments received without undue delay and in any event within 14 days of being informed of the withdrawal, using the same means of payment as the purchase unless expressly agreed otherwise, at no cost to the Consumer. The License is revoked from the time of withdrawal.
7.4. Request for immediate performance and loss of the right of withdrawal. The License allows immediate use of the software and the supply of digital content not on a tangible medium (the license key and the enabling of the software), together with the ongoing license verification service. During the order the Consumer may, by ticking a dedicated box that is not pre-ticked:
- expressly request that supply begins during the withdrawal period; and
- acknowledge that, once supply of the digital content has begun, under Article 59(1)(o) of the Consumer Code, and, for the service component, once the service has been fully performed, under Article 59(1)(a), the right of withdrawal is lost.
If the Consumer gives this consent, the contract confirmation under section 4.2 states it expressly.
If the Consumer requested immediate performance but the right of withdrawal has not yet been lost, a Consumer who withdraws must pay an amount proportionate to what was supplied up to the time they informed us of the withdrawal, in relation to the total price of the contract (Article 57(3) of the Consumer Code).
If the Consumer does not give consent, the license key is made available when the 14-day period ends; meanwhile the free trial, if still active, can continue to be used.
The right of withdrawal relates to the conclusion of the contract. Subsequent automatic renewals continue the contract already concluded and do not open a new withdrawal period; the Consumer may in any case cancel at any time, effective at the end of the period already paid (section 5.2).
7.5. The right of withdrawal under this section does not apply to Business Customers.
8. Legal guarantee of conformity
Consumers benefit from the legal guarantee of conformity for digital content and digital services under Articles 135-octies et seq. of the Consumer Code. For Business Customers the warranty and liability limitations in the EULA apply.
9. Partner programme
9.1. Hosting providers and agencies can join the LimePanel partner programme. Terms and discounts are set in the partner agreement.
9.2. Joining requires a written partner agreement, which prevails over these terms for the matters it specifically governs. Reselling, sublicensing or granting Licenses to third parties is permitted only under a partner agreement.
10. Support
Support is provided through the contact form on the website, the ticket system in the customer area and the address info@limepanel.it, on Italian business days. We answer requests as quickly as possible, in order of arrival and giving priority to issues that block the service; no guaranteed response times apply unless agreed otherwise in writing.
11. Liability
Liability limitations are set out in the EULA. Nothing in these terms limits rights that the law grants to Consumers on a mandatory basis, nor excludes liability for wilful misconduct or gross negligence.
12. Changes to these terms
We may change these terms for legal, technical or commercial reasons. Changes apply to orders placed after publication and, for running subscriptions, from the next renewal following an email notice sent at least 30 days in advance. A customer who does not accept them may cancel before renewal.
13. Governing law and jurisdiction
13.1. The contract is governed by Italian law, excluding conflict-of-law rules and the Vienna Convention on the International Sale of Goods.
13.2. Disputes with Business Customers fall under the exclusive jurisdiction of the Court of Lecce, Italy.
13.3. Disputes with Consumers fall under the jurisdiction of the court of the Consumer's place of residence or domicile, if in Italy (Article 66-bis of the Consumer Code). Mandatory protections under the law of the Consumer's country of habitual residence remain unaffected where applicable.
13.4. Consumers may also use the out-of-court dispute resolution procedures provided for in Articles 141 et seq. of the Consumer Code, by contacting one of the ADR bodies listed in the registers kept by the competent authorities. Digital Dept does not belong to a specific ADR body, but will consider in good faith taking part in the procedure proposed by the Consumer. Before starting a procedure the Consumer may write to info@limepanel.it to look for a solution.
